”\u015eirketimizin 150.000.000 TL tutar\u0131ndaki kay\u0131tl\u0131 sermaye tavan\u0131 i\u00e7erisinde kalmak kayd\u0131yla, her biri 1 TL nominal de\u011ferde paylardan olu\u015fan toplam 39.000.000 TL olan \u00e7\u0131kar\u0131lm\u0131\u015f sermayesinin, mevcut hissedarlar\u0131n (ortaklar\u0131n) r\u00fc\u00e7han haklar\u0131 tamamen k\u0131s\u0131tlanarak, nakden, tamamen ve her t\u00fcrl\u00fc muvazaadan ari olmak \u00fczere toplam sat\u0131\u015f has\u0131lat\u0131 3.000.000.000 TL olacak \u015fekilde, Sermaye Piyasas\u0131 Kurulunun (SPK) VII-128.1 say\u0131l\u0131 Pay Tebli\u011fi’nin 13. maddesinin 5. f\u0131kras\u0131 ve Borsa \u0130stanbul A.\u015e’nin Toptan Al\u0131\u015f Sat\u0131\u015f \u0130\u015flemlerine \u0130li\u015fkin Prosed\u00fcr\u00fc \u00e7er\u00e7evesinde (baz fiyattan ve nominal de\u011ferden a\u015fa\u011f\u0131 olmamak \u00fczere) belirlenecek sat\u0131\u015f fiyat\u0131na g\u00f6re hesaplanacak toplam nominal sermaye tutar\u0131 kadar art\u0131r\u0131lmas\u0131na, i\u015fbu sermaye art\u0131r\u0131m\u0131 nedeniyle ihra\u00e7 edilecek, sat\u0131\u015f has\u0131lat\u0131 tutar\u0131 3.000.000.000 TL’ye kar\u015f\u0131l\u0131k gelecek adette ve nominal sermaye tutar\u0131ndaki paylar\u0131n halka arz edilmeksizin Serdar Turhan ve Muhammed Yar\u0131z taraf\u0131ndan taahh\u00fct edilerek tahsisli sat\u0131\u015f y\u00f6ntemiyle Borsa \u0130stanbul A.\u015e pay piyasas\u0131nda toptan sat\u0131\u015f i\u015flemi yoluula sat\u0131lmas\u0131na, bu ama\u00e7la d\u00fczenlenecek ihra\u00e7 belgesinin onaylanmas\u0131 i\u00e7in SPK’ya ba\u015fvurulmas\u0131na, tahsisli olarak ihra\u00e7 edilecek ve toplam sat\u0131\u015f has\u0131lat\u0131 3.000.000.000 TL’ye kar\u015f\u0131l\u0131k gelecek tutardaki B grubu hamiline yaz\u0131l\u0131 paylar\u0131n borsada i\u015flem g\u00f6rebilir nitelikte olmas\u0131na, ihra\u00e7 edilecek paylar\u0131n sat\u0131\u015f fiyat\u0131n\u0131n, Borsa \u0130stanbul A.\u015e’nin Toptan Al\u0131\u015f Sat\u0131\u015f \u0130\u015flemlerine \u0130li\u015fkin Prosed\u00fcr\u00fc \u00e7er\u00e7evesinde yer alan esaslara g\u00f6re baz fiyattan ve nominal de\u011ferden a\u015fa\u011f\u0131 olmamak \u00fczere belirlenmesine, bu \u00e7er\u00e7evede, ihra\u00e7 belgesinin SPK taraf\u0131ndan onaylanmas\u0131n\u0131 takiben ihra\u00e7 edilecek paylar\u0131n ilgili mevzuatta belirlenen s\u00fcrelerde sat\u0131lmas\u0131 hususunda arac\u0131 kurumla arac\u0131l\u0131k s\u00f6zle\u015fmesi imzalanmas\u0131na, izinlerin al\u0131nmas\u0131n\u0131 m\u00fcteakip, prosed\u00fcr\u00fcn 7.1. numaral\u0131 maddesi uyar\u0131nca tahsisli sermaye art\u0131r\u0131m\u0131yla art\u0131r\u0131lan paylar\u0131n baz fiyat\u0131n tespiti amac\u0131yla Borsa \u0130stanbul A.\u015e’ye ba\u015fvuru yap\u0131lmas\u0131na, SPK’n\u0131n II-18.1 say\u0131l\u0131 Kay\u0131tl\u0131 Sermaye Sistemi Tebli\u011fi’nin 12. maddesi uyar\u0131nca i\u015fbu karar\u0131n kamuya duyurularak ilgili ticaret siciline tescilinin ve T\u00fcrkiye Ticaret Sicili Gazetesi’nde ilan\u0131n\u0131n yap\u0131lmas\u0131na, sermaye art\u0131r\u0131m\u0131 i\u015flemlerinin usul\u00fcne uygun olarak tamamlanmas\u0131n\u0131 m\u00fcteakiben, esas s\u00f6zle\u015fmenin 6. maddesinin art\u0131r\u0131lan sermayeyi yans\u0131tacak \u015fekilde tadil edilmesi amac\u0131yla gerekli i\u015flemlerin yerine getirilmesine, i\u015fbu karar\u0131n gereklerinin yerine getirilmesi, SPK ve ilgili di\u011fer kurum ve kurulu\u015flar nezdinde y\u00fcr\u00fct\u00fclecek s\u00fcre\u00e7lerin takip edilerek gerekli izin ve onaylar\u0131n al\u0131nmas\u0131 ve sermaye art\u0131r\u0131m\u0131n\u0131n ger\u00e7ekle\u015ftirilmesi i\u00e7in gerekli olan t\u00fcm i\u015f ve i\u015flemlerin usul\u00fcne uygun \u015fekilde tamamlanmas\u0131 hususlar\u0131nda genel m\u00fcd\u00fcrl\u00fc\u011f\u00fcn yetkili k\u0131l\u0131nmas\u0131na karar verilmi\u015ftir.”<\/p>\n
