”Sermaye Piyasas\u0131 Kurulunun (SPK) II-18.1 say\u0131l\u0131 Kay\u0131tl\u0131 Sermaye Sistemi Tebli\u011fi uyar\u0131nca, \u015firketimizin 3.600.000.000 TL olan kay\u0131tl\u0131 sermaye tavan\u0131 i\u00e7erisinde 540.000.000 TL olan \u00e7\u0131kar\u0131lm\u0131\u015f sermayesinin tamam\u0131 i\u00e7 kaynaklardan kar\u015f\u0131lanmak suretiyle y\u00fczde 100 art\u0131\u015fla 540.000.000 TL art\u0131r\u0131larak 1.080.000.000 TL’ye \u00e7\u0131kar\u0131lmas\u0131na, ihra\u00e7 edilecek paylar\u0131n mevcut A, B ve C grubu pay sahiplerine \u015firkette sahip olduklar\u0131 paylar\u0131n oran\u0131 nispetinde yeni A, B ve C grubu nama yaz\u0131l\u0131 paylar \u015feklinde bedelsiz olarak kayden da\u011f\u0131t\u0131lmas\u0131na, i\u00e7 kaynaklardan bedelsiz olarak art\u0131r\u0131lan 540.000.000 TL sermayenin tamam\u0131n\u0131n yasal defter ve kay\u0131tlarda bulunan ve varl\u0131\u011f\u0131 yeminli mali m\u00fc\u015favir Hasan Emre Bur\u00e7kin taraf\u0131ndan haz\u0131rlanan raporda tespit edilen ola\u011fan\u00fcst\u00fc yedekler hesab\u0131ndan kar\u015f\u0131lanmas\u0131na, i\u00e7 kaynaklardan sermaye art\u0131r\u0131m\u0131yla ilgili olarak esas s\u00f6zle\u015fmenin ‘sermaye’ ba\u015fl\u0131kl\u0131 7. maddesinin 6102 say\u0131l\u0131 T\u00fcrk Ticaret Kanunu ve sermaye piyasas\u0131 mevzuat\u0131 h\u00fck\u00fcmlerine uygun olarak tadil edilmesine, i\u00e7 kaynaklardan sermaye art\u0131r\u0131m\u0131 ger\u00e7ekle\u015ftirilmesi, ihra\u00e7 belgesi i\u00e7in onay al\u0131nmas\u0131 ve ‘sermaye’ ba\u015fl\u0131kl\u0131 7. maddesinin yeni hali i\u00e7in uygun g\u00f6r\u00fc\u015f al\u0131nmas\u0131 ve tescili i\u00e7in SPK, Bankac\u0131l\u0131k D\u00fczenleme ve Denetleme Kurumu, Merkezi Kay\u0131t Kurulu\u015fu A.\u015e, \u0130stanbul Takas ve Saklama Bankas\u0131 A.\u015e ve \u0130stanbul Ticaret Sicili M\u00fcd\u00fcrl\u00fc\u011f\u00fc de dahil olmak ve bunlarla s\u0131n\u0131rl\u0131 olmamak \u00fczere ilgili t\u00fcm resmi kurum ve kurulu\u015flara gerekli ba\u015fvurular\u0131n yap\u0131lmas\u0131na karar verilmi\u015ftir.”<\/p>\n
