Kamuyu Ayd\u0131nlatma Platformuna (KAP) yap\u0131lan a\u00e7\u0131klamada, \u015f\u00f6yle denildi:<\/p>\n

”\u015eirketimizin 3.000.000.000 TL kay\u0131tl\u0131 sermaye tavan\u0131 i\u00e7erisinde, 600.000.000 TL olan \u00e7\u0131kar\u0131lm\u0131\u015f sermayesinin mevcut ortaklar\u0131n r\u00fc\u00e7han haklar\u0131n\u0131n kullan\u0131larak tamam\u0131 nakden olmak \u00fczere 900.000.000 TL (y\u00fczde 150 oran\u0131nda) art\u0131r\u0131larak 1.500.000.000 TL’ye \u00e7\u0131kar\u0131lmas\u0131yla ilgili olarak ihra\u00e7 edilen 900.000.000 TL nominal de\u011ferli paylar i\u00e7in r\u00fc\u00e7han haklar\u0131 26.02.2026 \u2013 12.03.2026 tarihleri aras\u0131nda 15 g\u00fcn s\u00fcreyle kullan\u0131lm\u0131\u015f olup, r\u00fc\u00e7han haklar\u0131n\u0131n kullan\u0131lmas\u0131n\u0131n ard\u0131ndan kalan 11.801.078,648 TL nominal de\u011ferli paylar 16 \u2013 17 Mart 2026 tarihleri aras\u0131nda 2 i\u015f g\u00fcn\u00fc Borsa \u0130stanbul A.\u015e Birincil Piyasada sat\u0131lm\u0131\u015ft\u0131r. Art\u0131r\u0131lan 900.000.000 TL sermayeyi temsil eden paylar kar\u015f\u0131l\u0131\u011f\u0131nda, bu paylar\u0131 sat\u0131n alan ki\u015filer taraf\u0131ndan yeni pay alma haklar\u0131 kullanma s\u00fcresi (26.02.2026 \u2013 12.03.2026) i\u00e7erisinde 888.198.931,96 TL nakden, kalan paylar\u0131n 16 \u2013 17 Mart 2026 tarihlerinde Borsa \u0130stanbul A.\u015e. Birincil Piyasada olu\u015fan fiyatlardan sat\u0131lmas\u0131ndan 17.608.610,83 TL olmak \u00fczere toplamda 905.807.542,79 TL nakit giri\u015fi sa\u011flanm\u0131\u015ft\u0131r.<\/p>\n

Nakit art\u0131r\u0131lan 900.000.000 TL nominal de\u011ferli paylar\u0131n ihrac\u0131 izahnamede belirtilen ko\u015fullar \u00e7er\u00e7evesinde tamamlanarak, bedelleri nakden ve tamamen \u00f6denmi\u015f olmas\u0131 sebebiyle, \u015firketimizin yeni \u00e7\u0131kar\u0131lm\u0131\u015f sermayesi 1.500.000.000 TL’ye y\u00fckselmi\u015f olup, esas s\u00f6zle\u015fmenin ‘\u015firketin sermayesi’ ba\u015fl\u0131kl\u0131 6. maddesinin tadil edilmesine ili\u015fkin olarak uygun g\u00f6r\u00fc\u015f al\u0131nmas\u0131 amac\u0131yla Sermaye Piyasas\u0131 Kuruluna (SPK) ba\u015fvuru yap\u0131lmas\u0131na, onayl\u0131 tadil metninin al\u0131nmas\u0131n\u0131 takiben ticaret siciline tescil ve ilan edilmesine, i\u015fbu karar kapsam\u0131nda gerekli her t\u00fcrl\u00fc i\u015f ve i\u015flemin ifas\u0131na oy birli\u011fiyle karar verilmi\u015ftir.”<\/p>\n
