De\u011ferleme raporlar\u0131n\u0131n sonu\u00e7lanmas\u0131n\u0131 takiben durumu de\u011ferlendiren y\u00f6netim kurulu 24.12.2025 tarihli toplant\u0131s\u0131nda, di\u011fer hususlar yan\u0131nda, \u015firketimizin 150.000.000 TL tutar\u0131ndaki kay\u0131tl\u0131 sermaye tavan\u0131 i\u00e7erisinde 66.000.000 TL olan \u00e7\u0131kar\u0131lm\u0131\u015f sermayesinin mevcut pay sahiplerinin yeni pay alma haklar\u0131n\u0131n tamamen k\u0131s\u0131tlanmas\u0131 suretiyle 62.000.000 TL (y\u00fczde 93,94) art\u0131r\u0131larak 128.000.000 TL'ye \u00e7\u0131kar\u0131lmas\u0131na, ihra\u00e7 edilecek 62.000.000 TL nominal de\u011ferli (B) grubu hamiline yaz\u0131l\u0131 imtiyazs\u0131z paylar\u0131n Borsa \u0130stanbul A.\u015e Pay Piyasas\u0131nda i\u015flem g\u00f6ren nitelikte ve SPK ile Merkezi Kay\u0131t Kurulu\u015fu A.\u015e'nin (MKK) kaydile\u015ftirmeyle ilgili d\u00fczenlemeleri \u00e7er\u00e7evesinde kaydi pay olarak \u00e7\u0131kar\u0131lmas\u0131na, ihra\u00e7 edilecek 62.000.000 TL nominal de\u011ferli paylar\u0131n 52.700.000 TL nominal de\u011ferli k\u0131sm\u0131n\u0131n Bilal Ayduran'a, kalan 9.300.000 TL nominal de\u011ferli k\u0131sm\u0131n\u0131n N\u00fcsret G\u00fcler'e tahsis edilmesine, art\u0131r\u0131lan her biri 1 TL nominal de\u011ferli bir adet pay\u0131n sat\u0131\u015f fiyat\u0131n\u0131n Bizim Menkul De\u011ferler A.\u015e taraf\u0131ndan haz\u0131rlanan de\u011ferleme raporu \u00e7er\u00e7evesinde 17,601881 TL olarak belirlenmesine, SPK'n\u0131n VII-128.1 say\u0131l\u0131 Pay Tebli\u011fi'nin 13. maddesinin 5. f\u0131kras\u0131 kapsam\u0131nda ihra\u00e7 edilecek 62.000.000 TL nominal de\u011ferli paylar\u0131n borsan\u0131n toptan al\u0131\u015f sat\u0131\u015f i\u015flemlerine ili\u015fkin pazar\u0131nda yukar\u0131da belirlenen fiyat \u00fczerinden tahsisli olarak ad\u0131 ge\u00e7en ki\u015filere sat\u0131\u015f\u0131 i\u00e7in SPK'dan onay talep edilmesine, bu talebimizin SPK taraf\u0131ndan olumlu kar\u015f\u0131lanmamas\u0131 halinde, ihra\u00e7 edilecek paylar\u0131n toplam sat\u0131\u015f has\u0131lat\u0131 1.091.316.622 TL olacak \u015fekilde, borsan\u0131n Toptan Al\u0131\u015f Sat\u0131\u015f \u0130\u015flemlerine \u0130li\u015fkin Prosed\u00fcr\u00fc \u00e7er\u00e7evesinde belirlenecek pay sat\u0131\u015f fiyat\u0131na g\u00f6re hesaplanacak nominal sermaye tutar\u0131 kadar art\u0131r\u0131lmas\u0131na ve SPK'n\u0131n an\u0131lan pay tebli\u011fi ile II-5.1 say\u0131l\u0131 \u0130zahname ve \u0130hra\u00e7 Belgesi Tebli\u011fi h\u00fck\u00fcmleri \u00e7er\u00e7evesinde, sermaye art\u0131r\u0131m\u0131 nedeniyle d\u00fczenlenecek ihra\u00e7 belgesinin onaylanmas\u0131 talebiyle SPK'ya ba\u015fvuruda bulunulmas\u0131na oy birli\u011fiyle karar verilmi\u015ftir.''<\/p>\n
