Kamuyu Ayd\u0131nlatma Platformuna (KAP) yap\u0131lan a\u00e7\u0131klamaya g\u00f6re, y\u00f6netim kurulunun 5 Ekim 2026 tarihli ve 2026\/19 say\u0131l\u0131 karar\u0131 kapsam\u0131nda, 2,5 milyar TL kay\u0131tl\u0131 sermaye tavan\u0131 i\u00e7erisinde 500 milyon TL olan \u00e7\u0131kar\u0131lm\u0131\u015f sermayenin, 500 milyon TL nakit kar\u015f\u0131l\u0131\u011f\u0131 bedelli olarak art\u0131r\u0131larak 1 milyar TL’ye \u00e7\u0131kar\u0131lmas\u0131na karar verildi.<\/p>\n
Sermaye art\u0131r\u0131m\u0131nda mevcut ortaklar\u0131n yeni pay alma haklar\u0131 k\u0131s\u0131tlanmayacak ve 1 TL nominal de\u011ferli her bir pay i\u00e7in 1 TL fiyat \u00fczerinden kulland\u0131r\u0131lacak.<\/p>\n
Ayr\u0131ca Y\u00fcksel G\u00f6kt\u00fcrk, Bar\u0131\u015f G\u00f6kt\u00fcrk, Ferhan G\u00f6kt\u00fcrk ve Burak G\u00f6kt\u00fcrk taraf\u0131ndan \u015firkete nakden konulan ve yeminli mali m\u00fc\u015favir raporuyla tespit edilen fonlar nedeniyle olu\u015fan muaccel bor\u00e7lar ile sermaye avanslar\u0131n\u0131n, yeni pay alma haklar\u0131n\u0131n tamam\u0131n\u0131n kullan\u0131lmas\u0131 suretiyle sermaye koyma bor\u00e7lar\u0131na mahsup edilerek sermayeye eklenmesine karar verildi.<\/p>\n
Sermaye art\u0131r\u0131m\u0131nda ihra\u00e7 edilecek B grubu paylar, \u201cborsada i\u015flem g\u00f6ren\u201d nitelikte olu\u015fturulacak. A grubu pay sahiplerine A grubu, B grubu pay sahiplerine ise B grubu pay verilecek.<\/p>\n
Yeni pay alma hakk\u0131 kullan\u0131m s\u00fcresi 15 g\u00fcn olarak belirlenirken, s\u00fcrenin son g\u00fcn\u00fcn\u00fcn resmi tatile rastlamas\u0131 halinde kullan\u0131m s\u00fcresi izleyen i\u015f g\u00fcn\u00fc ak\u015fam\u0131 sona erecek.<\/p>\n
A grubu paylara ili\u015fkin yeni pay alma haklar\u0131n\u0131n tamam\u0131n\u0131n kullan\u0131laca\u011f\u0131 ve kar\u015f\u0131l\u0131ks\u0131z kalacak herhangi bir A grubu pay olu\u015fmayaca\u011f\u0131 belirtildi. Yeni pay alma haklar\u0131n\u0131n kulland\u0131r\u0131lmas\u0131n\u0131n ard\u0131ndan kalan B grubu paylar\u0131n ise 2 i\u015f g\u00fcn\u00fc s\u00fcreyle nominal de\u011ferden d\u00fc\u015f\u00fck olmamak \u00fczere Borsa \u0130stanbul A.\u015e Birincil Piyasada olu\u015facak fiyattan sat\u0131lmas\u0131 kararla\u015ft\u0131r\u0131ld\u0131.<\/p>\n
S\u00fcresi i\u00e7erisinde sat\u0131lmayan paylar\u0131n bulunmas\u0131 halinde, Y\u00fcksel G\u00f6kt\u00fcrk, Bar\u0131\u015f G\u00f6kt\u00fcrk ve Burak G\u00f6kt\u00fcrk taraf\u0131ndan verilen sat\u0131n alma taahh\u00fctleri kapsam\u0131nda kalan paylar\u0131n, halka arz fiyat\u0131n\u0131n ortalamas\u0131ndan a\u015fa\u011f\u0131 olmamak \u00fczere bedelleri tam ve nakden \u00f6denerek sat\u0131n al\u0131nmas\u0131 i\u00e7in ilgili ortaklara ba\u015fvurulacak.<\/p>\n
Sermaye art\u0131r\u0131m\u0131 i\u015flemlerinde Tacirler Yat\u0131r\u0131m Menkul De\u011ferler A.\u015e arac\u0131 kurum olarak belirlenirken, gerekli ba\u015fvurular\u0131n yap\u0131lmas\u0131 ve sermaye art\u0131r\u0131m\u0131 kapsam\u0131nda ilgili i\u015flemlerin y\u00fcr\u00fct\u00fclmesi konusunda Bar\u0131\u015f G\u00f6kt\u00fcrk yetkilendirildi.<\/p>\n
