”FZL Gayrimenkul Yap\u0131 Ticaret Anonim \u015eirketi \u00fcnvanl\u0131 \u015firketi 6102 say\u0131l\u0131 T\u00fcrk Ticaret Kanununun 155. maddesinin 1. f\u0131kras\u0131n\u0131n a bendi ve 156. maddesi h\u00fck\u00fcmleri ile Kurumlar Vergisi Kanununun 19 ve 20. maddeleri uyar\u0131nca kolayla\u015ft\u0131r\u0131lm\u0131\u015f birle\u015fme h\u00fck\u00fcmlerine g\u00f6re b\u00fct\u00fcn aktif ve pasifiyle devralmak suretiyle birle\u015ftirilmesine ve \u015firketin \u00f6zvarl\u0131k tespitinin yapt\u0131r\u0131lmas\u0131na,\u00a0T\u00fcrk Ticaret Kanununun 147. maddesinde \u00f6ng\u00f6r\u00fclen birle\u015fme raporunun d\u00fczenlenmemesine, T\u00fcrk Ticaret Kanununun 149. maddesinde d\u00fczenlenen inceleme hakk\u0131n\u0131n kullan\u0131lmamas\u0131na, T\u00fcrk Ticaret Kanununun 151. maddesinde gere\u011fince genel kurulun onay\u0131na sunulmamas\u0131na, \u015firketimizin devir olan \u015firketin y\u00fczde 100’\u00fcne sahip olmas\u0131 sebebiyle herhangi bir sermaye art\u0131r\u0131m\u0131 yap\u0131lmamas\u0131na,\u00a0Sermaye Piyasas\u0131 Kurulunun (SPK) Birle\u015fme ve B\u00f6l\u00fcnme Tebli\u011fi (II-23.2) uyar\u0131nca duyuru metni, birle\u015fme s\u00f6zle\u015fmesi ve ilgili tebli\u011fin \u00f6ng\u00f6rd\u00fc\u011f\u00fc birle\u015fme i\u015flemine ili\u015fkin ba\u015fvurularda gerekli di\u011fer bilgi ve belgelerin haz\u0131rlanarak SPK’ya ba\u015fvurulmas\u0131na karar verildi.”<\/p>\n
